DuPont kondigt wisselingen in leiderschap aan

Ed Breen keert terug naar de rol van CEO en wordt Executive Chairman en Chief Executive Officer; Lori Koch benoemd tot Chief Financial Officer.

WILMINGTON, Del., 18 februari 2020 - DuPont [NYSE: DD] kondigde vandaag aan dat zijn Raad van Bestuur de huidige Executive Chairman Edward D. Breen heeft benoemd in de bijkomende rol van Chief Executive Officer. Lori D. Koch, Vice President Investor Relations en Corporate Financial Planning and Analysis, is benoemd tot Chief Financial Officer. Beide benoemingen zijn met onmiddellijke ingang van kracht.

De Raad van Bestuur heeft deze wisselingen in het leiderschap doorgevoerd om de operationele prestatieverbetering te versnellen en meer gebruik te maken van de aanzienlijke managementervaring van Ed Breen. Als gevolg hiervan zullen Marc Doyle en Jeanmarie Desmond, die de functiess van respectievelijk CEO en CFO bekleedden, het bedrijf verlaten.

"Sinds hij in 2015 voor het eerst de rol van voorzitter en CEO van DuPont op zich nam, heeft Ed Breen het bedrijf door een uitgebreide transformatie geleid om het potentieel van de onderscheidende capaciteiten, de innovatieve portefeuille en de diepe klantrelaties verder te ontsluiten", aldus Alexander M. Cutler, de belangrijkste onafhankelijke bestuurder van DuPont.  "Na zorgvuldige overweging concludeerde de Raad van Bestuur dat het nu het juiste moment is om deze leiderschapsveranderingen door te voeren, inclusief het opnieuw benoemen van Ed in de functie van chief executive om directer te kunnen putten uit zijn aanzienlijke operationele ervaring. De Raad van Bestuur heeft er vertrouwen in dat Ed en Lori samen de operationele prestaties zullen verbeteren en ervoor zullen zorgen dat DuPont zijn aanzienlijke potentieel voor waardecreatie op lange termijn ten volle benut.”

"De Raad van Bestuur en ik hebben grote waardering voor de belangrijke bijdragen die Marc en Jean gedurende tientallen jaren aan het bedrijf hebben geleverd", aldus Ed Breen. "Onlangs hebben ze het bedrijf door een belangrijke overgangsperiode geleid en we zijn hen erkentelijk voor hun toewijding aan DuPont in de loop van hun carrière.

"Hoewel we in 2019 enige vooruitgang hebben geboekt, hebben we onze eigen verwachtingen niet waargemaakt en moeten we nu agressief te werk gaan om onze basis voor groei veilig te stellen", aldus Ed Breen. "We hebben solide businesses, maar, zoals we tijdens onze recente telefonische bespreking van de financiële resultaten hebben besproken, moeten we de operationele verbetering versnellen en ervoor zorgen dat we passende maatregelen nemen om onze beloften voor het jaar na te komen.

"Lori Koch zal hierbij een uitstekende partner zijn. Ze heeft gedurende een aanzienlijke carrière als financieel leider bij DuPont voortdurend uitstekende resultaten geboekt en heeft een aanzienlijke kennis van onze activiteiten. Lori heeft haar expertise in het ontwikkelen en uitvoeren van de juiste financiële strategie ter ondersteuning van de verwezenlijking van onze bedrijfsdoelstellingen aangetoond", aldus Breen.

"Ik heb nog steeds enorm veel vertrouwen in dit bedrijf en in ons team. Het nakomen van onze verplichtingen en het realiseren van ons volledige potentieel is mijn persoonlijke topprioriteit. In overeenstemming hiermee zal ik me terugtrekken uit het bestuur van Corteva om mij volledig te richten op ons werk bij DuPont", aldus Breen.

Het bedrijf zal de initiatieven die tijdens de telefonische bespreking van het vierde kwartaal en het einde van 2019 zijn aangekondigd, blijven bevorderen om ervoor te zorgen dat de organisatie- en kostenstructuren de juiste omvang hebben om de lopende veranderingen in de portefeuille te weerspiegelen. Om ervoor te zorgen dat dit initiatief het juiste strikte niveau heeft, zal Nick Fanandakis, voormalig CFO van DuPont, dienen als Senior Advisor voor de CEO met een focus op het aansturen van de herstructurering. Zijn diepgaande kennis van de activiteiten van DuPont en zijn bewezen vermogen om aandeelhouderswaarde te creëren zullen ervoor zorgen dat het bedrijf beter gepositioneerd is om duurzame groei en winstgevendheid op de lange termijn te behalen.

Biografische informatie

Gedurende een carrière van 17 jaar bij DuPont heeft Lori Koch financiële leiderschapsfuncties bekleed met een toenemende verantwoordelijkheid, die zich uitstrekte over business units, de organisatie van wetenschap en technologie en bedrijfsfuncties. Ze gaf leiding aan de financiën van verschillende business units die miljoenen dollars waard zijn, waaronder Packaging & Industrial Polymers, Performance Polymers en Performance Materials, voordat ze hoofd werd van Investor Relations en Corporate Financial Planning and Analysis. De afgelopen vier jaar heeft ze nauw samengewerkt met Ed Breen en heeft ze een belangrijke rol gespeeld in de strategie, de planning en de betrokkenheid van de aandeelhouders bij de DowDuPont-transactie en de daarop volgende splitsing in drie nieuwe, onafhankelijke bedrijven. Eerder in haar carrière bekleedde Koch belangrijke financiële functies bij Comcast Business Communications en Lucent Technologies. Momenteel is ze bestuurder van Aceto Corporation, een toonaangevende wereldwijde virtuele fabrikant van life sciences materialen en technologie. Koch heeft een Master of Science in Accounting van Babson College en een Bachelor of Science in Finance en International Business van Pennsylvania State University.

Ed Breen is sinds de splitsing in juni 2019 Executive Chairman van DuPont en was daarvoor sinds 2017 Chief Executive Officer van DowDuPont. Vóór de fusie van DuPont en The Dow Chemical Company was Breen sinds 2015 Chairman en CEO van DuPont. In de afgelopen 5 jaar heeft Breen aanzienlijke prestatieverbeteringen doorgevoerd in de businesses van DuPont, een van de meest transformerende fusies in de industrie tot stand gebracht en vervolgens drie toonaangevende onafhankelijke bedrijven gelanceerd. Voorafgaand aan zijn tijd bij DuPont was Breen van 2002 tot 2012 Chairman en CEO van Tyco International plc ("Tyco"), waar hij Tyco veranderde in een sterke marktleider, waardoor het bedrijf vanuit een bijna-faillissement opstond en het merk en de geloofwaardigheid van het bedrijf opnieuw werden opgebouwd. Hij hield toezicht op een succesvolle herstructurering, inclusief het afstoten van niet-kernactiviteiten, en stelde doelen op het gebied van operationele uitmuntendheid en corporate governance en realiseerde deze. Voordat hij bij Tyco in dienst trad, bekleedde Breen senior managementfuncties bij Motorola en General Instrument Corporation. Breen is bestuurder van Comcast Corporation en lid van de adviesraad van New Mountain Capital LLC, een participatiemaatschappij. Momenteel is hij ook bestuurder van Corteva Agriscience, maar hij heeft het bestuur laten weten dat hij zich dit jaar niet herkiesbaar zal stellen in de aandeelhoudersvergadering vanwege zijn toegenomen verantwoordelijkheden in een beursgenoteerd bedrijf.
